Foreword and Acceptance of this Agreement
Welcome to AI+ plus .
This User Agreement ("Agreement") governs your access to and use of the AI+ Platform, including our website, AI+ account, products, software, AI features, and related services provided by Nxtquantum Shift Technologies India Private Limited ("Company", "AI+", "we", "our", or "us").
This Agreement should be read together with our Privacy Policy, Terms and Conditions, Warranty Policy, Shipping Policy, Refund & Return Policy, and other applicable policies published on the Platform.
By accessing or using the Platform, creating an AI+ account, or purchasing our products or services, you agree to be bound by this Agreement and the applicable Platform Policies. If you do not agree, you should discontinue your use of the Platform.
We may update this Agreement from time to time to reflect changes in applicable laws, our products, services, or business practices. The updated Agreement will become effective upon publication on the Platform. Your continued use of the Platform after such update constitutes your acceptance of the revised Agreement.
Eligibility, Registration and AI+ Account
To use certain features of the Platform, you may be required to create an AI+ account. By registering or using the Platform, you represent that you are legally competent to enter into a binding contract under applicable law and that all information provided by you is accurate, complete, and up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out through your AI+ account. You must promptly notify the Company of any unauthorized access, security incident, or suspected misuse of your account.
You agree to use your AI+ account only for lawful purposes and in accordance with this Agreement. The Company reserves the right to verify your account information and to suspend or terminate your account if any information provided is false, misleading, or if your account is used in violation of this Agreement or applicable law.
Acceptable Use of the Platform
You agree to use the Platform only for lawful purposes and in compliance with this Agreement and all applicable laws. You shall not misuse the Platform or engage in any activity that may interfere with its security, integrity, availability, or the rights of the Company or other users.
Without limitation, you shall not:
- use the Platform for any unlawful, fraudulent, or unauthorized purpose;
- provide false, inaccurate, or misleading information;
- access or attempt to access any account, system, or data without authorization;
- upload or transmit any virus, malware, malicious code, or other harmful material;
- copy, modify, reverse engineer, scrape, or otherwise exploit any part of the Platform or its content without the Company's prior written consent;
- infringe the intellectual property or other legal rights of the Company or any third party;
- upload or publish unlawful, offensive, defamatory, misleading, or objectionable content; or
- misuse promotional offers, place fraudulent orders, or otherwise abuse the Platform or its services.
The Company reserves the right to investigate any suspected violation of this Agreement and may suspend or terminate your access to the Platform, cancel orders, remove content, or take any other action permitted under applicable law.
User Content and Feedback
The Platform may allow you to submit reviews, ratings, comments, feedback, suggestions, photographs, or other content ("User Content"). You are solely responsible for ensuring that your User Content is accurate, lawful, and does not infringe the rights of any third party or violate any applicable law.
By submitting User Content, you grant the Company a non-exclusive, royalty-free, worldwide licence to use, reproduce, publish, display, and distribute such User Content solely for the purpose of operating, improving, promoting, and providing the Platform, products, and services.
The Company reserves the right, but is not obligated, to review, refuse, remove, or restrict any User Content that violates this Agreement, applicable law, or the rights of any person.
Privacy and Third-Party Services
Your privacy is important to us. Our collection, use, storage, disclosure, and processing of your personal information is governed by our Privacy Policy, which forms an integral part of this Agreement. By using the Platform, you acknowledge that your personal information may be processed in accordance with our Privacy Policy and applicable laws.
The Platform may contain links to or integrate with third-party websites, applications, payment gateways, logistics partners, or other services. Your use of such third-party services is subject to their respective terms and privacy policies. The Company is not responsible for the availability, content, security, or practices of any third-party services, except as required under applicable law.
Intellectual Property, Software and AI Features
All intellectual property rights in the Platform, including its software, AI features, content, trademarks, logos, designs, images, videos, graphics, and other materials, are owned by or licensed to the Company and are protected under applicable intellectual property laws.
Subject to this Agreement, the Company grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for your personal and non-commercial use only. You shall not copy, modify, distribute, reverse engineer, or otherwise exploit any part of the Platform or its content without the Company's prior written consent.
The Company may provide software updates, security patches, bug fixes, AI feature enhancements, or other improvements from time to time. Certain features may be modified, suspended, or discontinued based on technical, operational, legal, or business requirements.
Disclaimer and Limitation of Liability
The Platform, AI+ account, products, software, AI features, and services are provided on an "as is" and "as available" basis. While the Company makes reasonable efforts to ensure the accuracy, security, and availability of the Platform, it does not guarantee that the Platform or its services will be uninterrupted, error-free, secure, or free from harmful components.
You are responsible for maintaining the security of your devices, account credentials, and personal data. The Company may provide software updates, security patches, or feature enhancements from time to time to improve the security and performance of its products and services.
To the maximum extent permitted under applicable law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the Platform, products, or services. The Company's total liability in relation to any claim shall not exceed the amount paid by you for the relevant product or service giving rise to such claim. Nothing in this Agreement shall exclude or limit any liability that cannot be excluded under applicable law.
Suspension and Termination
The Company reserves the right to suspend, restrict, or terminate your AI+ account or access to the Platform if you violate this Agreement, any applicable Platform Policy, or applicable law, provide false or misleading information, engage in fraudulent or unauthorized activities, or otherwise misuse the Platform.
You may stop using the Platform or request the closure of your AI+ account at any time. Suspension or termination of your account shall not affect any rights, obligations, liabilities, or claims that arose prior to such suspension or termination.
You agree to be responsible for any loss, damage, claim, or expense incurred by the Company arising from your breach of this Agreement, misuse of the Platform, violation of applicable law, or infringement of the rights of any third party.
General Provisions
The Company may update or modify this Agreement from time to time to reflect changes in applicable laws, products, services, technology, or business practices. The revised Agreement will be effective upon publication on the Platform, and your continued use of the Platform constitutes your acceptance of the updated Agreement.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Any failure or delay by the Company in exercising any right under this Agreement shall not constitute a waiver of such right.
This Agreement, together with the applicable Platform Policies, constitutes the entire agreement between you and the Company regarding your access to and use of the Platform and supersedes all prior communications or understandings relating to the same subject matter.
Governing Law and Jurisdiction
This Agreement and the Platform Policies shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts at Mumbai, Maharashtra, India, subject to any rights available to consumers under applicable law.
